1. Agreement to Terms

By accessing and using TheCoop ("the Service"), you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you may not use our Service.

2. Description of Service

TheCoop is a digital rewards platform that connects local businesses with consumers. Consumers earn stars for shopping at participating local businesses, which can be redeemed for cashback rewards. Businesses can join the platform to increase foot traffic and customer loyalty.

3. User Accounts

For Consumers:

• You must provide accurate, current, and complete information during registration
• You are responsible for maintaining the security of your account
• You must be at least 13 years old to use the Service
• One account per person is allowed

For Businesses:

• You must be an authorized representative of the business
• All business information must be accurate and up-to-date
• You must comply with all applicable local regulations

4. Rewards Program

Earning Stars:

• Consumers earn 1 star per visit to participating businesses
• Stars are awarded upon successful check-in via QR code scan
• Fraudulent activity will result in account termination

Redeeming Cashback:

• 5 stars = $5 cashback
• Cashback is paid via PayPal, Venmo, or Zelle
• Payment processing may take 5-7 business days
• Cashback has no expiration date
• Cashback cannot be exchanged for cash beyond the redemption amount

5. Business Obligations

• Display QR codes prominently at checkout
• Honor all stars earned by consumers
• Maintain accurate business information
• Comply with all local business regulations

6. Prohibited Activities

Users may not:

• Create fake accounts or use automated systems to earn stars
• Manipulate or abuse the rewards system
• Share account credentials with others
• Reverse engineer or attempt to access the Service's code
• Use the Service for any illegal purposes
• Harass, abuse, or harm other users or businesses

7. Payment and Fees

TheCoop is free for consumers. Business participation may involve fees as outlined in separate business agreements. We reserve the right to modify fees with 30 days notice.

8. Intellectual Property

All content, features, and functionality of TheCoop, including but not limited to text, graphics, logos, and software, are the property of TheCoop and are protected by copyright, trademark, and other intellectual property laws.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that the Service will be uninterrupted, secure, or error-free.

10. Limitation of Liability

To the maximum extent permitted by law, TheCoop shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use or inability to use the Service.

11. Termination

We reserve the right to terminate or suspend your account at any time, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes via email or through the Service. Continued use of the Service after changes constitutes acceptance of the new Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.
